Terms of Service

1. Agreement to Terms

By accessing digimateai.com (“Site”) or engaging DigiMateAI for any service, you (“Client”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or our services. DigiMateAI is operated by Shakeel Ahmed, UAE.

2. Services Offered

DigiMateAI provides the following professional services:

• WhatsApp Bot Development — design, build, and deployment of AI-powered WhatsApp bots using WhatsApp Business API and n8n workflows.
• n8n Workflow Automation — custom automation workflows on n8n (cloud or self-hosted) integrating third-party SaaS tools, CRMs, and databases.
• AI Agent Deployment — design and deployment of LLM-based AI agents powered by OpenAI and similar providers for business process automation.
• Automated Reporting Dashboards — data pipelines and dashboards that surface KPIs without manual effort.
• Business Website Design — SEO-optimised, mobile-first websites for local businesses.
• Automation Consulting — strategy sessions to identify automation opportunities and ROI.

The specific scope, deliverables, timeline, and price for each engagement are defined in a separate written Service Agreement or proposal exchanged between DigiMateAI and the Client prior to commencement of work.

3. Payment Terms

Unless otherwise stated in the Service Agreement, the following default terms apply:

• A 50% upfront deposit is required before work commences.
• The remaining 50% is due upon delivery of the final deliverable.
• Invoices are payable within 7 calendar days of issue.
• Late payments accrue interest at 2% per month on outstanding balances.
• Payments are accepted via bank transfer, Wise, or other methods specified in the invoice.

4. Acceptable Use

You agree not to use DigiMateAI services or the Site to:

• Send spam, unsolicited commercial messages, or phishing communications.
• Build automation that harasses, deceives, or harms individuals or organisations.
• Violate any applicable law, including but not limited to UAE Cybercrime Law (Federal Law No. 5 of 2012), GDPR, or CAN-SPAM.
• Reverse-engineer, decompile, or resell any deliverable without permission.
• Use WhatsApp bots in violation of Meta’s WhatsApp Business Policy, including bulk-messaging personal accounts.
• Impersonate DigiMateAI, Shakeel Ahmed, or any other person or entity.

DigiMateAI reserves the right to terminate a project immediately, without refund, if any acceptable-use violation is discovered.

5. Intellectual Property

5.1 Client Content

You retain full ownership of all content, data, logos, brand assets, and business information you provide to DigiMateAI. You grant us a limited licence to use these materials solely for the purpose of delivering the agreed services.

5.2 Deliverables

Upon receipt of full payment, ownership of custom-built deliverables (n8n workflows, bot configurations, website code) transfers to the Client. DigiMateAI retains ownership of any pre-existing frameworks, templates, or reusable components used to build those deliverables; the Client receives a perpetual, non-exclusive licence to use those components as part of the delivered solution.

5.3 Portfolio Use

DigiMateAI may reference your company name and a brief project description in our portfolio and marketing materials. If you prefer confidentiality, notify us in writing before project commencement.

6. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during an engagement. This obligation survives termination of the Service Agreement for a period of two (2) years. Each party may disclose confidential information to employees or contractors who need to know it for the purposes of the engagement, provided those parties are bound by equivalent confidentiality obligations.

7. Warranties & Representations

DigiMateAI warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We will correct, at no additional cost, any material defects reported within 14 days of delivery that are directly caused by our work.

The Site and all content on it are provided “as is” without any warranty of any kind, express or implied, including merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DigiMateAI’s total liability to the Client for any claim arising out of or relating to these Terms or any engagement shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.

DigiMateAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

DigiMateAI is not liable for downtime, policy changes, or API changes made by third-party platforms (WhatsApp/Meta, Google, n8n, OpenAI, etc.) that affect delivered automations.

9. Termination

Either party may terminate an engagement with 14 days’ written notice. Upon termination, the Client owes payment for all work completed to the termination date. Deposits are non-refundable once work has commenced. DigiMateAI may terminate immediately for material breach, non-payment, or acceptable-use violations.

10. Governing Law & Dispute Resolution

These Terms and any Service Agreement are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC) in Dubai, UAE.

11. Changes to These Terms

We reserve the right to update these Terms at any time. The revised Terms will be published on this page with an updated “Last updated” date. Continued use of our services after changes constitutes acceptance.
